Service Agreement
Virtual Office Address
Customers signing up for a virtual office address agree to the following clauses in their entirety. By checking the box during the checkout procedure stating that you have read and agree to the terms and conditions of this service agreement as part of your registration with Work At (an Ivyhill Digital Service) you agree to be bound by the following terms and conditions including any additional policies or changes that may be made by Work At and issued to you for as long as you use the services of Work At.

1) The Service
1a) Work At will provide the customer with a virtual office address with a mailbox at our premises for which the customer will pay a monthly or annual fee as stated on the website.

1b) The address will be used for Sole Trader purposes only.
​
1c) Work At will provide the opportunity for the customer to collect mail during normal office hours.
​
1d) Where the Customer utilises the virtual office address for the regular receipt of parcels or significant volumes of mail which exceed the capacity of the Mailbox service allocated, Work At may request the customer to upgrade the Mailbox service where available or charge any additional mail handling fee.
1e) The Customer may, subject to availability, request to upgrade the level of service during the term by making additional Payment for the remainder of the term.

1f) Work At will receive all pre-paid mail addressed to the Customer’s virtual office address on their behalf as well as items of special, registered or recorded delivery provided that, if the Customer refuses to accept any such item, the Customer will pay any costs or fees associated with its refusal or return.

1g) Work At will not accept items requiring cash on delivery.

1h)All mail items received on behalf of the customer will be opened, scanned and sent to the client's registered email address if permission is given to do so. This is done so at the customer's own risk.
1i) Mail will be held on to for 1 month during which time the mail must be collected. Any mail that is not collected will be returned to the sender or confidentially destroyed on agreement with the customer.

1j) All mail forwarded will be at the customer's own risk.

1k) Work At may in its absolute discretion refuse to accept delivery of, forward or scan & send any item for any reason, including, without limitation, that there is no or insufficient prepaid postage, the customer has outstanding payments owed to Work At for the service, the Customer is using the service for the delivery of items of mail that are classed as larger than 'large letter' by Royal Mail or an unreasonably large volume of items of mail or any item delivered is addressed to an individual or business name not listed as a mailing name within the Agreement. Work At may at its sole discretion, amend the acceptable parcel size and weight requirements without prior notice to the customer.

1l) If the Service availability becomes disrupted or terminated Work At will notify the Customer immediately giving as much notice as practicably possible. Work At will terminate the agreement and refund fees paid for the unused period of the Agreement. Upon termination, the Customer agrees NOT to use the Mailbox Service Address as from the date of termination. The Customer agrees NOT to hold Work At Ltd liable for any losses or damages arising as a result of this.

2. The Payment
2a) Payment for the service must be made in advance in full.

2b) The customer will give one month's notice should they wish to terminate the agreement after the mandatory MINIMUM 3 MONTH contract period. When the agreement has been terminated, the client foregoes all rights to use the virtual office address that was assigned to them and must remove it from all business collateral, both online and hard copy, with immediate effect. Any customers failing to do so will be in breach of contract and will be issued with an invoice for continuing to use the service plus an additional service charge of £50 per month.

2c) If the Customer fails to make a payment, any mail received after the expiry of the existing Agreement may be retained for up to 30 days pending Payment. In this event a Late Payment Fee will apply. If any Payments or other sums are outstanding to Work At, they shall retain all uncollected items until such Payments are duly made.
3. Termination of the service
3a) Work AT may terminate the Service immediately if, at any time, the Customer breaches any of these Terms and Conditions. In that case, the customer hereby authorises Work AT at their absolute discretion to either retain, or destroy any items of mail addressed to the Customer or any items on the premises which are the property of the Customer, or to return them to the sender, or to return them to the last known address of the Customer at the Customer's own risk and expense.
3b) If the Customer uses the virtual office address within any advertising undertaken via third parties including but not limited to printed or online directories, search engine portals or on the Customer’s own or any other websites, Payment will be required to cover the entire advertising period for which the Mailbox Service Address is displayed.
4) The Customer Undertakes:
-not to send or deliver or permit to be sent or delivered to the Centre any illegal, defamatory, obscene, dangerous or bulky object or material.
- to only use the virtual office address to carry our legitimate and lawful business. Any activity considered or deemed to be illegal or antisocial, Work At may report the same to any relevant authority.
- to provide proof af address and photographic ID so that Work At may 'know the customer' in a sufficient way as to deem the customer is who they say they are. The documents uploaded will be stored for the required amount of time to meet GDPR and legal requirements (see our Privacy Policy for more details).
- to provide a mail forwarding address and an email address for sending scanned mails.
- to notify Work At of any change in address or contact details, or any change to named recipients of mail in writing, during the period of the Agreement.
If the Customer is in breach of any of these Terms and Conditions, Work At may terminate the service with immediate effect. In this instance there will be no refund of the Payment and in its absolute discretion, Work At may refuse to accept further delivery of mail on the Customer’s behalf or handover to the relevant authority.
5)The Customer authorises Work At to sign at their discretion on the Customer’s behalf for any deliveries addressed to the Customer’s virtual office address. The Customer agrees to collect the mail within 48 hours of delivery notification and upon collection of such items, agrees to sign a record book as proof of delivery. A Package Holding Fee may be levied on uncollected items at Work At's sole discretion.
6) The Customer will indemnify Work At against any expense, liability, loss, claim or proceedings incurred by Work At arising from use by the Customer of the Service, except to the extent that the same is caused by the negligence of Work At.
7) The Mailbox Service is not to be used for the storage or delivery of items of value. The liability of Work At in respect of any damage or loss is limited to £20 for each claim and in aggregate shall not exceed the amount of the Payment in any Term.
8) Work At shall not be held liable for any direct, indirect or consequential loss, including loss of profit, nor for any liabilities, costs, claims, demands or expenses arising from any event beyond its control including, but not limited to, any loss, damage, delay or mis-delivery on the part of Royal Mail or any other carrier.
9) The rights and obligations of Work At and the Customer with whom this Agreement is made shall be governed and construed in accordance with law in Northern Ireland. The Customer may not assign any of its Rights or benefits hereunder. These Terms and Conditions shall prevail notwithstanding any conflict with the terms and conditions of any order or contract submitted by the Customer in respect of the Service or any other services provided by Work AT.
10) Cancellations/Refunds
a. The Customer may cancel the order and receive a full refund if the service is purchased online
within the normal 14 day “cooling off” period provided the Customer requests this in writing within the agreed period. The Service purchased will be considered live once Work At has confirmed the Service. The Term will commence at this time.
